유진그룹, 방통위 ‘최다액출자자’ 변경 승인을 받으면 YTN 최대 주주로 등극

유진그룹(有進-, Eugene Group)이 보도전문채널 YTN의 지분 중 한전KDN과 한국마사회가 보유한 30.95%를 오늘 낙찰받았다.

M&A 업계에 따르면 오늘 YTN의 공기업 지분 매각 주관사인 삼일회계법인의 주재로 그랜드하얏트서울 호텔에 진행된 개찰에서 유진그룹이 입찰가 3천199억원을 써내 한전KDN과 한국마사회 보유 지분 30.95%의 낙찰자로 선정됐다.

지난 20일 최종 입찰에는 유진그룹과 함께 한세실업, 원코리아미디어홀딩스가 참여했다. 그간 시장에는 여러 언론사와 일부 중견기업이 인수 후보로 거론됐지만, 최종 입찰에는 이들 세 기업만 참여했다.

유진그룹은 금융(자산운용, 투자증권), 유통, 물류, IT, 레저·엔터테인먼트 사업 등의 분야에서 50여개의 계열사를 보유한 기업집단이다. 한세실업(105630, 시총 9,220억)은 OEM·ODM를 기반으로 18개의 해외법인을 운영 중인 의류 수출 전문기업이다. 원코리아미이어홀딩스는 고 문선명 총재의 3남인 문현진 글로벌피스재단(GPF·Global Peace Foundation) 세계의장이 이번 인수전에 참여하기 위해 설립한 법인이다.

공기업이 보유한 YTN 지분 낙찰자로 선정된 유진그룹은 앞으로 방송통신위원회의 ‘최다액출자자’ 변경 승인을 받아야 YTN의 새로운 최대 주주가 될 수 있다.

왜냐하면, 현행 ‘방송법 제15조의2(최다액출자자 등 변경승인 등)’에 규정에 따라 방통위의 승인을 얻기 전에는 해당 지분에 대한 의결권을 행사할 수 없기 때문이다.

그래서 방통위는 방송법 위 조항에 따라 ▲ 방송의 공적 책임·공정성 및 공익성의 실현 가능성 ▲ 사회적 신용 및 재정적 능력 ▲ 시청자의 권익 보호 ▲ 그 밖에 사업 수행에 필요한 사항 등을 고려해 승인 여부를 결정해야 한다.

참고로 동 조에서는 ‘최다액출자자’를 ‘해당 사업자의 출자자 본인과 그의 특수관계자의 주식 또는 지분을 합하여 의결권이 있는 주식 또는 지분의 비율이 가장 많은 자’로 정의하고 있다.

한편, 언론노조는 이번 YTN의 공기업 지분 매각에 대해 국정조사를 실시해야 한다고 주장하고 있다.

Eugene Group (有進-) today won the bid for the 30.95% stake in YTN held by KEPCO KDN and the Korea Racing Authority.

According to the M&A industry, Eugene Group was selected as the winning bidder for a 30.95% stake in KEPCO KDN and Korea Racing Authority after spending 319.9 billion won in bidding at the Grand Hyatt Seoul Hotel, presided over by Samil Accounting Corp., the organizer of YTN’s stake in public companies.

Hansae and One Korea Media Holdings participated in the final bid on the 20th along with Eugene Group. Several media companies and some mid-sized companies have been mentioned as candidates for acquisition in the market, but only these three companies participated in the final bid.

Eugene Group is a business group with about 50 affiliates in the fields of finance (asset management, investment securities), distribution, logistics, IT, and leisure and entertainment businesses. Hanse Co., Ltd. (105630, market capitalization of 922 billion won) is a clothing export company that operates 18 overseas subsidiaries based on OEMs and ODMs. One Korea Meyer Holdings is a corporation established by Moon Hyun-jin, the world chairman of the Global Peace Foundation (GPF), the third son of the late President Moon Sun-myung, to participate in the acquisition.

Eugene Group, which was selected as a successful bidder for YTN’s stake held by a public company, can become the new largest shareholder of YTN only after obtaining approval from the Korea Communications Commission to change its “largest investor.”

This is because voting rights for the stake cannot be exercised until approval is obtained from the Korea Communications Commission in accordance with the current “Article 15-2 of the Broadcasting Act (approval to change the largest shareholder, etc.).

Therefore, in accordance with the provisions of the Broadcasting Act, the Korea Communications Commission should decide whether to approve it or not by considering ▲ the possibility of realizing public responsibility, fairness, and public interest of broadcasting ▲ social credit and financial capabilities ▲ protecting the rights and interests of viewers ▲ and other matters necessary for carrying out the project.

For reference, the same article defines “the largest investor” as “the person with the largest ratio of shares or shares with voting rights by combining the investor of the relevant business entity and the shares or shares of his/her related party.”

Meanwhile, the press union is insisting that a parliamentary investigation should be conducted into YTN’s sale of its stake in a public company.
